TradeGroove Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and TradeGroove LLC ("TradeGroove," "we," "us," or "our"). They govern your access to and use of TradeGroove's websites, mobile applications, services, tools, features, content, and related products (collectively, the "Service").

By creating an account, browsing listings, listing an item, messaging another user, using Want It Now, completing a trade, buying a promotion or subscription, watching a rewarded ad, or otherwise using the Service, you agree to these Terms and the policies linked below.

If you do not agree, do not use the Service.

1. Related Policies

These Terms incorporate the following policies:

• Privacy Policy.
• Community Guidelines.
• Prohibited Items Policy.
• Safety and Meetup Guidelines.
• Purchase and Promotion Terms.
• Ratings and Reviews Policy.
• Moderation and Enforcement Policy.
• Intellectual Property and DMCA Policy.
• Data Retention and Deletion Policy.
• Law Enforcement and Safety Requests Policy.

If these Terms conflict with a policy, these Terms control unless the policy says it overrides a specific section.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use TradeGroove. You may not use the Service if you are barred from doing so under applicable law, if we previously suspended or terminated your account for safety or legal reasons, or if you are using the Service on behalf of another person without authorization.

You are responsible for making sure your use of the Service is lawful where you live, where your item is located, and where a trade or meetup occurs.

3. Accounts and Verification

You may need an account to list items, message users, rate trades, use boosts or credits, report users, or complete other actions. You agree to provide accurate account information and keep it current.

TradeGroove may require email verification, phone verification, app integrity checks, or other trust and safety steps before you can use certain features. Verification only confirms a contact method or account step. It does not verify a user's identity, background, character, trustworthiness, item ownership, item authenticity, or safety.

You are responsible for your account, devices, passwords, codes, and activity. Tell us promptly at support@tradegroove.app if you believe your account was accessed without authorization.

4. TradeGroove Is a Platform Only

TradeGroove provides tools that help users discover, list, discuss, and arrange trades. TradeGroove is not a party to trades between users.

TradeGroove does not own, inspect, authenticate, verify, store, ship, insure, appraise, warrant, endorse, or guarantee any listed item, user, profile, message, rating, meetup, trade, or outcome. TradeGroove does not guarantee that a user will respond, show up, complete a trade, provide an item as described, or act safely or lawfully.

Any trade, meetup, communication, inspection, transportation, exchange, tax obligation, dispute, injury, loss, or claim involving users or items is between the users involved.

5. Listings and Item Responsibilities

When you create or edit a listing, you represent and warrant that:

• You own the item or have legal authority to trade it.
• The item is not stolen, counterfeit, recalled, hazardous, illegal, or prohibited by our policies.
• Your listing is accurate, complete, and not misleading.
• Your photos, description, value estimate, category, location, condition, and trade preferences are truthful to the best of your knowledge.
• You will disclose known defects, safety issues, missing parts, damage, restrictions, or other material facts.
• You will comply with all laws, regulations, product-safety rules, tax rules, and platform policies that apply to the item and trade.

TradeGroove may reject, limit, demote, remove, or require edits to listings at any time, including if we believe a listing may violate law, app-store rules, user safety expectations, or our policies.

6. Prohibited Conduct

You may not:

• List, request, trade, promote, or facilitate prohibited items.
• Use TradeGroove for fraud, theft, scams, money laundering, trafficking, illegal sales, illegal services, or evasion of law.
• Harass, threaten, abuse, stalk, exploit, discriminate against, impersonate, or dox another person.
• Upload or send illegal, hateful, sexual, violent, exploitative, deceptive, infringing, or unsafe content.
• Manipulate ratings, fake trades, create fake accounts, coordinate review abuse, or misrepresent trust signals.
• Scrape, copy, reverse engineer, interfere with, overload, or attempt unauthorized access to the Service.
• Bypass moderation, safety features, app integrity controls, account restrictions, payment rules, or technical limits.
• Use the Service to collect personal data from other users outside the purpose of arranging a lawful trade.
• Encourage another user to violate these Terms or any law.

7. User Content

"User Content" means listings, photos, messages, profile information, ratings, reviews, reports, trade confirmations, comments, names, logos, and other content you submit or make available through the Service.

You keep ownership of your User Content, subject to the rights you grant us. You give TradeGroove a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, adapt, publish, distribute, analyze, moderate, remove, and otherwise use your User Content to operate, improve, protect, promote, and provide the Service. This license continues as needed for backups, legal compliance, safety, moderation, dispute handling, and records of completed transactions or enforcement actions.

You represent that you have the rights needed to submit your User Content and that it does not violate law, infringe someone else's rights, or breach these Terms.

8. Messages and User Interactions

TradeGroove may provide in-app messaging to help users discuss potential trades. You are responsible for your messages and interactions.

We may review, preserve, restrict, or disclose messages and related records when we believe it is reasonably necessary for safety, moderation, fraud prevention, legal compliance, enforcement of these Terms, support, or protection of rights. We do not promise to monitor every message or prevent every harmful interaction.

9. Meetups and Physical Safety

Meetups are voluntary and at your own risk. Review the Safety and Meetup Guidelines before meeting anyone.

TradeGroove does not supervise meetups, verify meetup locations, provide security, inspect items, run background checks, or guarantee personal safety. If you are in immediate danger or believe a crime is happening, contact local emergency services first.

10. Ratings, Reviews, and Trust Signals

Ratings, reviews, trade counts, verification badges, report status, moderation status, and other trust or safety signals are limited community and account signals. They are not guarantees of safety, identity, honesty, item quality, legality, or trade completion.

You may only submit honest ratings and reviews based on real TradeGroove interactions or completed trades. Review manipulation, retaliation, extortion, fake reviews, undisclosed paid reviews, and misleading endorsements are prohibited.

11. Paid Features, Promotions, Credits, and Ads

TradeGroove may offer paid or ad-supported features, including Premium, Hype boosts, Want It Now credits, rewarded ads, listing promotions, or other upgrades.

Paid and promotional features do not guarantee listing views, matches, messages, trade offers, completed trades, item value, profile visibility, or any specific result. Additional terms are in the Purchase and Promotion Terms.

Payments may be processed by app stores, payment providers, ad networks, or other service providers. Their terms and policies may also apply.

12. Taxes and Barter

You are responsible for any taxes, reporting, permits, licenses, customs, duties, or other obligations related to your listings, trades, barter transactions, or payments. TradeGroove does not provide tax, legal, valuation, or financial advice.

13. Privacy

Our Privacy Policy explains how we collect, use, disclose, and retain information. By using the Service, you agree that we may process information as described in the Privacy Policy and related notices.

14. Changes to the Service or Terms

We may update the Service or these Terms from time to time. We will provide notice when required by law or when changes are material. Continued use of the Service after updated Terms become effective means you accept the updated Terms.

We may modify, suspend, or discontinue any part of the Service at any time, including features, prices, credits, promotions, categories, matching logic, moderation rules, and availability.

15. Suspension and Termination

We may limit, suspend, terminate, shadow-limit, restrict messaging, remove content, withhold features, preserve records, or take other action if we believe:

• You violated these Terms or a related policy.
• Your activity creates safety, fraud, legal, financial, technical, or reputational risk.
• Your account or content may be associated with illegal, harmful, infringing, or deceptive activity.
• We are required or permitted to act by law, app-store rules, payment-provider rules, or a valid request.

You may stop using the Service at any time. You may request account deletion as described in the Privacy Policy and Data Retention and Deletion Policy.

16. Third-Party Services

The Service may use or link to third-party services, including app stores, Firebase, analytics providers, ad networks, maps or location tools, payment providers, and websites. We are not responsible for third-party services, content, policies, outages, acts, omissions, or fees.

17. No Warranty

To the maximum extent permitted by law, the Service is provided "as is" and "as available." TradeGroove disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and reliability.

We do not warrant that the Service will be uninterrupted, error-free, secure, free of harmful code, or that harmful users, prohibited items, unsafe meetups, fraud, or policy violations will always be detected or prevented.

18. Limitation of Liability

To the maximum extent permitted by law, TradeGroove and its owners, directors, officers, employees, contractors, agents, affiliates, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for losses arising from:

• User listings, trades, meetups, messages, ratings, reviews, reports, or conduct.
• Item quality, ownership, authenticity, condition, legality, safety, recall status, or value.
• Account access, moderation decisions, removed content, restricted accounts, or service changes.
• Third-party services, app stores, payment providers, ad networks, analytics providers, outages, or security incidents.

To the maximum extent permitted by law, TradeGroove's total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of: (a) the amount you paid TradeGroove for the Service in the 12 months before the claim; or (b) USD $100.

Some jurisdictions do not allow certain liability limits. In those jurisdictions, liability is limited to the maximum extent permitted by law.

19. Release

To the maximum extent permitted by law, you release TradeGroove and its owners, directors, officers, employees, contractors, agents, affiliates, service providers, and licensors from claims, demands, damages, losses, liabilities, costs, and expenses arising out of or related to disputes with other users, user conduct, listings, items, messages, meetups, trades, ratings, reports, or offline interactions.

If you are a California resident, you waive California Civil Code Section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

20. Indemnity

You agree to defend, indemnify, and hold harmless TradeGroove and its owners, directors, officers, employees, contractors, agents, affiliates, service providers, and licensors from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your use of the Service.
• Your User Content.
• Your listings, items, trades, meetups, messages, ratings, reports, purchases, or interactions.
• Your violation of these Terms, related policies, law, regulation, third-party rights, app-store rules, or payment-provider rules.
• Your fraud, misrepresentation, negligence, misconduct, or unsafe conduct.

21. Dispute Resolution and Governing Law

Before bringing a formal claim, you agree to contact support@tradegroove.app and give TradeGroove a reasonable opportunity to investigate and resolve the issue informally.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise. Subject to any rights you may have under applicable consumer-protection law, you agree that courts located in Orange County, California will have exclusive jurisdiction and venue for disputes arising out of or relating to the Service or these Terms.

Nothing in this section prevents either party from seeking temporary or emergency injunctive relief, reporting safety issues to law enforcement, or using small-claims court where available.
